Welcome to Brixel! We provide a platform that allows users to create, manage, and execute intelligent, automated workflows using AI-powered tools. These Terms of Service (the "Terms") govern your use of our platform, APIs, chat interfaces, and all services we provide (the "Services"), unless otherwise specified under Supplemental Terms.

The Services are provided by Brixel, a French simplified joint-stock company registered with the RCS of Antibes, headquartered at 67 boulevard du Val Claret, 06600 Antibes, France ("Brixel," "we," "our," or "us").

1. Access to Services

1.1 Minimum Age

You must be at least 13 years old to use the Services. If you are underage, you must obtain consent from a parent or legal guardian.

1.2 Account Creation

Access to some Services requires a Brixel account. You agree to provide accurate information and keep it updated. The account is personal and must not be shared. You are responsible for all activity performed under your credentials.

1.3 Admin Accounts

Some users may have administrative rights to manage other user accounts in their workspace. You agree to use such privileges in accordance with these Terms.

2. Use of Services

2.1 Usage License

We grant you a non-exclusive, non-transferable right to access and use the Services in compliance with these Terms, applicable laws, and any documentation or policy we provide.

2.2 Restrictions

You agree not to:

• Use the Services in violation of any laws or policies;
• Reverse engineer or attempt to extract the underlying components;
• Interfere with security features or moderation systems;
• Share your credentials or resell access to the Services.

2.3 Third-Party Services

You may connect third-party services to the Brixel platform. You are solely responsible for such connections and their compliance with applicable laws.

3. Your Data

3.1 Definitions

Input Data: data you provide to the Services.
Output Data: results generated by the Services.
Together, these are referred to as Your Data.

3.2 Intellectual Property

You retain all rights to Your Data. Where legally possible, we assign you the intellectual property rights to the Output Data.

3.3 Responsibility

You are responsible for the content you provide and your use of the Output Data. Brixel does not guarantee that Output Data will be unique or error-free.

3.4 Unlawful Content

You agree not to use the Services to produce or share unlawful, hateful, discriminatory, violent, or infringing content. You may report such content to support@brixel.ai.

4. Warranties

4.1 From Us

We warrant that the Services substantially comply with their documentation under normal use.

4.2 From You

You warrant that you have the rights to use the Services and that your use complies with applicable laws and these Terms.

4.3 Disclaimer

The Services are provided "as is." We offer no implied warranties on availability, accuracy, or fitness for a particular purpose.

5. Indemnification

You agree to indemnify Brixel for any claims arising from:

• Your violation of these Terms,
• Content or services you provide to third parties using our technologies,
• Your Data.

We will indemnify you against claims related to intellectual property infringement, except in cases explicitly excluded in this section (modifications, external integrations, etc.).

6. Limitation of Liability

Brixel shall not be liable for indirect or consequential damages, loss of profits, or data loss. Our total liability shall not exceed the amount you paid for the relevant Service in the last 12 months.

7. Duration, Suspension, and Termination

These Terms take effect upon your first use of the Services and remain in force until terminated.

We may suspend or terminate your access if:

• You violate these Terms,
• You fail to pay fees,
• Legal compliance requires it,
• Your usage poses a risk to the Services' security or integrity.

You may delete your account at any time from the platform or by contacting support@brixel.ai.

8. Personal Data

Our processing of personal data is described in our Privacy Policy.

9. Changes

We may update these Terms or the Services. In the case of significant changes, you will be notified 30 days in advance. Continued use of the Services constitutes acceptance of the new terms.

10. General Provisions

10.1 Assignment

You may not assign your rights without our permission. We may transfer ours to any Brixel-affiliated entity.

10.2 Force Majeure

Neither party shall be liable for failure to perform due to events beyond their control.

10.3 Governing Law

These Terms are governed by French law. Any dispute arising from or related to these Terms shall be submitted to the exclusive jurisdiction of the courts of Grasse, France.

10.4 Miscellaneous

• These Terms represent the entire agreement between you and Brixel.
• If a clause is deemed invalid, the rest remains enforceable.
• Waiving any right shall not constitute a continuing waiver.

Specific Terms – Paid Services

Effective as of April 8, 2025

These Specific Terms apply to any subscription to a paid plan on the Brixel platform.

Payment

You must provide accurate billing information and use a valid payment method. By subscribing to a paid plan, you authorize Brixel to automatically charge your payment method at each agreed renewal period, until cancellation.

You are responsible for paying all applicable taxes and fees.

Free Trial

Brixel may offer a free trial period. No credit card is required to start the trial. At the end of the trial period, access to the Services will be suspended until a valid payment method is provided and a paid plan is activated. No charges will be made without your explicit action.

Termination

You may cancel your subscription at any time through your account or by contacting our support team at support@brixel.ai. Unless otherwise stated, payments are non-refundable.

In the event of non-payment, Brixel reserves the right to suspend or terminate your access to the Services.

Changes

We reserve the right to modify our pricing. In case of a price increase, you will be notified at least 30 days in advance. The increase will apply at your next renewal, giving you the opportunity to cancel your subscription if you do not accept the new pricing.

Account Deletion

You can permanently delete your account at any time. Before doing so, you agree to settle any outstanding amounts due.

Acceptable Use Policy

Use of the Brixel platform is subject to this Acceptable Use Policy, which aims to ensure responsible, ethical, and lawful use of our Services.

Prohibited Content and Activities

Illegal Activities

You may not use our Services to encourage or engage in illegal activities. This includes, but is not limited to:

• Promoting or distributing illegal drugs or substances,
• Developing weapons or critical infrastructure systems,
• Exploiting individuals (e.g., human trafficking, sexual services, etc.).

Child Sexual Abuse

Zero tolerance. Any attempt to generate content related to child sexual abuse will result in immediate account termination and notification of the relevant authorities.

Non-consensual Intimate Imagery

It is strictly prohibited to generate intimate imagery of real individuals without the explicit consent of all parties involved.

Hate, Discrimination, Harassment

It is forbidden to generate or promote content that incites hatred or harassment based on:

• Race, gender, origin, religion, nationality, sexual orientation, disability, or any other protected category,
• Revisionist or denialist theories (e.g., Holocaust denial),
• Targeted harassment of individuals or groups.

Violence and Threats

You may not use the Services to promote, glorify, incite, or threaten violence against others.

Self-Harm and Suicide

Content that encourages or depicts self-harm or suicide is prohibited, including:

• Graphic representations,
• Detailed instructions or encouragement to self-harm or commit suicide.

Fraud and Scams

The following are strictly forbidden:

• Phishing attempts,
• Financial scams,
• Identity theft or data falsification.

Misinformation

You may not knowingly generate misleading, false, or deceptive content, such as:

• False information about current events, health, or science,
• Content undermining democratic or civic processes,
• Harmful conspiracy theories.

Privacy Violations

You may not generate or disseminate personal data of others without their consent.

Unqualified Professional Advice

Unless you are properly certified, you may not provide:

• Financial or investment advice,
• Legal advice or interpretation,
• Medical diagnoses or treatment recommendations.

Enforcement

Violations of this policy may result in:

• Suspension or permanent termination of your account,
• Legal action,
• Reporting to law enforcement authorities.
